About ICSI:

The Institute of Company Secretaries of India (ICSI) is the only institute recognized by the Government of India, which has played a key role in promoting the profession of Company Secretary through its courses.

The Institute of Company Secretaries of India (ICSI) offers foundation, executive, and professional programmes. Those doing Plus Two or equivalent courses or have passed them may enrol for the eight-month foundation programme. Those who clear the foundation programme and take a degree may register for the executive programme.

A Company Secretary is a very important member of the company’s management.  Company which has a paid-up share capital of Rupees Fifty crore and above, have to appoint a full-time Company Secretary.

Qualities for CS

Diplomacy must be observed to understand the business techniques and guidelines of the organization, Intellectual, sophisticated, loyal as well as careful individuals to become a successful company secretary. Applicant should be committed as well as experienced in English speaking and English writing.

Professional scope for CS (Prospects):

With India going global and corporate sector getting all geared up to compete with their counterparts across the world, there is tremendous scope for growth of company secretary as He plays a key role in giving appropriate advice on corporate, legal, administrative, secretarial and tax-related matters.

He could either get a government job in accounts or law departments or could get attached to a corporate sector and even rise to the post of Chairman or Managing Director or even be a member of the Board of Directors in the private sector. He can acquire a job in departments of Company affairs, Company Law Boards, Stock Exchanges, Can start own CS consultancy firm, Can become Lecturer in universities, & join Bureau of public enterprises.

 

COMPANY SECRETARY COURSE LEVELS:

*FOUNDATION COURSE:

Duration: Duration of course is eight months.
Eligibility: Can be pursued by 10+2 pass students of Arts, Science or Commerce Stream (excluding Fine Arts).
Registration: Must register with the ICSI at least eight months in advance.

Exams: Exams of this course are held twice in a year, in the month of June and December. For December 2012 exams new syllabus will be applicable under OMR (Optical Mark Recognition).There will be no negative marking under new OMR system. Existing system syllabus is also available till June 2013.

First week of June (2nd to 7th)- 9.30 to 12.30 A.M., Last week of Dec. (26th to 31st – 9.30 to 12.30 A.M

Multiple Choice Questions (MCQ)

Relaxation:Student will be given two attempts to clear the existing/old syllabus course. Student can change over to new syllabus from existing without any exemption.
Cut off dates:*31st March is the cut-off date for admission to appear in December exams.
*30th September is the cut-off date for admission to appear in June exams next year.
Fees Structure: The course fee is Rs. 4,500/- for CS Foundation programme and the Examination fee is Rs. 1,200/- (lump sum).
Prospectus:
The cost of prospectus and Examination Application Form is Rs. 500/-.
Payment Option:Payment can be done through demand draft, which has to be drawn in favor of ‘The Institute of Company Secretaries of India’, payable at New Delhi OR Pay online (Gradually the institute plans to shift to online mode).

*EXECUTIVE PROGRAMME COURSE:

Duration: Duration of the course is nine months.
Eligibility: After clearing foundation course, student can appear for Executive Programme course OR it can be pursued by Graduates of all streams except Fine Arts OR those students who have cleared CPT or CWA foundation course. Candidate should not be less than 17 years of age.
Registration: Should register with the ICSI at least nine months in advance. Registration is valid for 5 years.

Passing Marks: 40% in each paper and 50% overall in all papers. Otherwise student has to reappear in exams.
Cut off dates:
*28th Feb. (Both modules – December attempt); 31st May (One module – December attempt); 31st August (Both modules – June attempt); and 30th November (One module – December attempt)
Fees Structure: The course fee is Rs. 8,500/- for CS Foundation pass candidates, Rs. 9,000/- for commerce graduates, and Rs. 10,000 for non-commerce graduates. The Examination fee is Rs. 1,200/- (per module).

*Other requirements:

Compulsory Computer Training: Undergo 70 hours computer training before writing the Executive Programme Examination.
Compulsory  SIP: Undergo 7 days Students Induction Programme (SIP) within 6 months of registration and before appearing in  Executive Programme Examination.

PROFESSIONAL COURSE :

Duration: Duration of the course is nine months prior to the month of examination.
Eligibility: After clearing Executive programme, student can appear in Professional course.
Registration: Should register with the ICSI at least nine months in advance.

Subjects: (There are 9 Papers in three modules but the 9th paper has five options. The student has to choose any one elective from 5 subjects. )

Payment Option: Payment can be done through demand draft, which has to be drawn in favor of ‘The Institute of Company Secretaries of India’, payable at New Delhi OR Pay online (Gradually the institute plans to shift to online mode).

*The Training Orientation Programme (TOP) is for 5 days and is done before commencement of training. This is followed by training for 15 months after the candidate has passed the Intermediate Examination or Final Examination. There is a practical training for 3 months. This is after passing the Final examination and that too, for those, who have been exempted from undergoing the 15 months training. There is training with Registrar of Companies (ROC), Stock Exchange, financial or banking institution for 15 days. The Secretarial Modular Training Programme (SMTP) is conducted after the candidate has passed the Final Examination and completed the Training requirement. It is for 15 days. Depending on the practical experience of the candidates, they can be exempted from training completely or partially.

Finally, the person allocated with a Professional Membership Number.
After qualifying Professional Examination and on successful completion of training a candidate is admitted as an Associate Member of the ICSI and can use the letters ACS after his/her name, i.e., Associate Company Secretary OR CS if they are in employment.
